Terms for Lifetime Licenses

These terms and conditions ("Terms") apply to lifetime licenses sold for the FireCut plugin ("Software"). By purchasing a lifetime license, you agree to these Terms.

1. License Grant and Scope: FireCrafts, Ltd. ("Company") hereby grants to you ("Licensee") a non-exclusive, non-transferable, non-sublicensable, perpetual license to use the Software in accordance with these Terms. The License granted herein is limited to one individual user only.

2. Updates and Feature Scope: The Lifetime License includes updates to existing features that are available at the time of your License inception for a period of twelve (12) months following the purchase date. New features that are introduced after the purchase are not included within the scope of this License. Following the twelve-month period, any additional updates, defined at the sole discretion of the Company, may not be included in the Lifetime License and could require a separate purchase or subscription.

3. Fair Usage Policy: The Licensee's use of the Software is subject to a fair usage limit of fifteen (15) hours per month ("Usage Cap"). Further usage may be purchased by contacting FireCut directly at support@firecut.ai

4. Support Services: Complimentary support services for the Software will be provided by the Company for thirty (30) days post-purchase ("Initial Support Period"). Upon expiration of the Initial Support Period, support services will be offered at the Company's discretion and may be subject to fees under a separate support agreement.

5. License Term and Termination: The term "lifetime" refers to the commercial lifecycle of the current version of the Software, as determined solely by the Company. The Company reserves the right to discontinue the Software or transition to a new version which may not be covered under this Lifetime License. The Company may terminate this Lifetime License immediately without notice and without refund if the Licensee engages in misuse, abuse, or fraudulent use of the Software, in violation of these Terms or applicable law, for example but not limited to, sharing the License with multiple users. The Company may, at its sole discretion, terminate this Lifetime License by providing Licensee with written notice. Upon such termination, Licensee shall be entitled to a prorated refund based on the monthly list price of the Software at the time of purchase, less any costs incurred by the Licensee’s use of the Software. This Lifetime License is provided to the Licensee only and cannot be sold, transferred, or assigned. Any attempt to do so is void and will result in automatic termination of the License without refund. The Licensee shall cease all use of the Software upon termination and uninstall all copies.

6. Cost Adjustment and Renegotiation: The Company reserves the right to renegotiate the terms or introduce new charges to ensure the sustainability of services, for example in the event that the Company's operational, maintenance, or service delivery costs increase significantly. Licensees will be notified of such changes with an option to consent to the amended terms or to cancel and receive a prorated refund of their license as detailed in clause 5.

7. Intellectual Property Rights: The Software and all intellectual property rights therein are and shall remain the exclusive property of the Company. This Lifetime License does not transfer any ownership rights to the Licensee. Unauthorized copying, distribution, or use of the Software is expressly prohibited and may result in civil and criminal penalties.

8. Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes or claims arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. The Licensee agrees to submit to the sole jurisdiction of these courts and waives any objection based on an inconvenient forum or venue.

9. Severability and Waiver: If any part of these Terms is found to be unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of remaining provisions. Failure to enforce any right or provision will not constitute a waiver of such right or provision.

10. Modification of Lifetime License Terms: The Company reserves the right to modify these Lifetime License Terms at any time. Such modifications will be effective immediately upon posting on the Company's website or providing notice to the Licensee. Continued use of the Software after changes will constitute acceptance of the modified Terms.

By accepting this Lifetime License, the Licensee acknowledges that they have read, understood, and agreed to be bound by these Terms.
